These Terms of Service (“Terms”) govern your use of websites and services operated by Overa Health Inc. and its affiliated brands (Vitren, Zelyn, Norvel, Valynt, Estrova, Hermova, Luven, Kelyn) (collectively “we,” “us,” or “our”).

By accessing any of our websites or submitting a health intake, you agree to these Terms.

1. What This Service Is

We operate online platforms that connect individuals with independent licensed US physicians who evaluate whether treatments may be appropriate. We are not a medical provider, hospital, clinic, or pharmacy. We do not practice medicine.

Physicians who review your intake are independent licensed practitioners. Prescriptions, if issued, are sent to independent licensed US compounding pharmacies. We do not manufacture, compound, or dispense any medication.

2. Physician Evaluation Required

Completing a health intake on our platform does not guarantee a prescription or treatment. Every prescription requires an independent physician to evaluate your health information and determine that the treatment is appropriate for you. Not all applicants qualify.

3. Compounded Medications

Many treatments facilitated through this platform involve compounded medications. Compounded medications are not FDA-approved drug products. They are prepared by licensed compounding pharmacies under physician prescription pursuant to applicable state and federal law. Compounded medications have not been evaluated by the FDA for safety, efficacy, or quality.

4. Not Medical Advice

Nothing on our websites constitutes medical advice. Information provided is for general educational purposes only. You should not make medical decisions based on information on our websites without consulting a licensed physician.

5. Eligibility

You must be 18 years of age or older to use our services. Services are available only in states where the relevant treatments are legally available. State-specific restrictions are disclosed during the intake process.

6. Payment and Cancellation

Subscription pricing is billed monthly. You may cancel before your next billing date at any time by contacting support@overa.health. Refunds are not issued for billing periods already charged. Cancellation stops future charges; it does not reverse past charges.

Lab fees, where applicable, are billed separately and are non-refundable once the lab order has been processed.

7. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Overa Health Inc. and its affiliated brands are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or any treatment you receive. Our total liability for any claim is limited to the amount you paid us in the 30 days preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Overa Health Inc., its affiliates, officers, directors, employees, and agents from any claim, demand, or damage arising from your use of our services or your violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

11. Changes to These Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.
